Kentucky: Domestic LLC Formation Filing Requirements
The short answer
A Kentucky LLC files organizer-signed Articles of Organization stating its compliant name, Kentucky registered office and agent, initial principal-office mailing address, and whether managers or members will manage it. One or more organizers may form the company without being members, the agent must consent in writing, and current Form KLC costs $40 unless the qualifying veteran-owned-business fee waiver applies. The LLC exists when the Secretary of State files the articles or at a stated delayed date or time up to 90 days later; Kentucky requires no formation publication or separate initial report.

Requirements one by one
Governing law and filing record
Kentucky uses Articles of Organization under KRS Chapter 275, supplemented
by the common entity-filing rules in Chapter 14A. The organizer delivers the
articles to the Secretary of State.
Organizer and signature
KRS 275.020 permits one or more organizers and expressly says they need not be
members. Before formation, KRS 14A.2-020(1)(b) assigns execution to an organizer.
Current Form KLC asks for the organizer's signature, printed name and title, and
date under a declaration made under penalty of perjury. It does not require a
notary or witness.
Required entity and purpose terms
The articles state a distinguishable name with an approved LLC ending, the
registered office and agent, the initial principal-office mailing address, and
the management choice. KRS 275.025 does not require a purpose statement.
Duration is perpetual by default. A different period belongs in the articles.
Addresses and service fields
The registered office must use a Kentucky street address, not only a post-office
box, and the initial agent is named at that office. The agent signs the articles
or an attachment to consent. The separate initial principal-office field is a
mailing address and may use a street address or post-office box.
Management and owner disclosure
Kentucky requires the articles to state whether managers or members manage the
LLC. Neither KRS 275.025 nor current Form KLC requires the names or addresses of
managers, members, or owners.
Optional and restricted provisions
KRS 275.025(4) allows other matters that could appear in an operating agreement
and are not inconsistent with law. A nonperpetual duration is also optional.
Subsection (5) adds a limit: a member does not acquire a vested property right
from an articles provision.
Filing method, fee, and attachments
FastTrack accepts online filing without copies. Paper filing by mail or in person
uses one exact or conformed copy. The current fee is $40.
A qualifying veteran-owned business organized after August 1, 2018 is exempt
from the articles fee under KRS 14A.2-165. Current Form KLC requires the
veteran-owned box and copies of the prospective veteran-owners' DD-214 forms or
active-duty IDs, with Social Security numbers, birth dates, and home addresses
redacted. The ordinary formation filing otherwise needs no separate owner or
manager attachment; agent consent may appear on the form or an attachment.
Formation and effective date
Under KRS 275.020, the LLC exists when the Secretary of State files the articles
unless they specify a delayed effective date. KRS 14A.2-070 caps the delay at 90
days after filing. If a date is stated without a time, effectiveness is at 5 p.m.
Frankfort time; the document cannot take effect before filing.
Current Form KLC says the standard document is effective on filing and provides
no labeled delayed-date field. A delayed term therefore must be stated in the
articles rather than inferred from a requested processing date.
What trips people up
The registered-office and principal-office fields are different. The registered
office is a Kentucky street address matching the agent's business address. The
principal office is a mailing address and may be outside Kentucky or use a
post-office box.
Kentucky requires no newspaper publication, proof filing, or separate initial
report. Form KLC points ahead to the first annual report in the following
calendar year, but that recurring filing is outside this formation page.
Common questions
Must I reserve the name before filing?
No. KRS 14A.3-020(1) says a person may reserve an available name for 120
days. The optional application costs $15 under KRS 14A.2-060(1)(b).
Does filing the articles stop everyone else from using the name?
Not automatically. KRS 14A.3-010(18) says filing or reserving a name does not
by itself prevent use by other people or protect the name from their use.
