Oklahoma: LLC Registered-Agent and Registered-Office Requirements

An Oklahoma LLC must continuously maintain a registered office and registered agent. The LLC itself, an Oklahoma-resident individual, or a qualifying domestic or foreign corporation, LLC, or general or limited partnership may serve; the agent keeps a business office identical to the registered office and open during regular business hours. Requirements one by one
Governing law and terminology
18 O.S. § 2000 names the chapter the Oklahoma Limited Liability Company
Act. Sections 2005 and 2010 use registered agent and registered office
for the domestic LLC's service arrangement.
Continuous designation duty
The executed articles form the LLC under § 2004 and must state the initial
agent's name and street address under current § 2005(A)(3). Section 2010(A)
then requires every domestic LLC to continuously maintain both an Oklahoma
registered office and registered agent.
Eligible individual
An individual agent must reside in Oklahoma. Under § 2010(A)(2), the person
must maintain a business office identical to the registered office and keep it
open during regular business hours to accept process and perform the agent's
other functions. The section states no separate age, citizenship, membership,
or manager-status requirement.
A member, manager, organizer, owner, or employee may serve personally only by
meeting those resident-individual, office, and hours conditions.
Eligible entity and self-service
Oklahoma expressly allows the domestic LLC to serve as its own registered
agent. Section 2010(A)(2) also permits a domestic or qualified foreign
corporation, LLC, general partnership, limited partnership, LLP, or LLLP. Each
entity route uses the same matching-office and regular-hours rules.
Registered office, address, and hours
The registered office may, but need not, be the principal place of business.
The agent's business office must be identical to it. Current § 2005(A)(3)
requires the articles to give the agent's street address, so a P.O. box alone
does not satisfy that formation field.
This is one of the states with an enacted availability rule: § 2010(A)(2)
requires the business office to be open during regular business hours to
accept service of process and otherwise perform the registered-agent function.
The statute does not convert that phrase into a numbered 9-to-5 window.
Consent and initial filing
Current § 2005 requires the articles to state the principal-place street address
and the registered agent's name and street address. Section 2006 requires an
organizer's signature and permits an organizer who is not a member. The cited
current provisions do not require the initial agent to sign the articles or file
a separate acceptance.
An enacted transition begins November 1, 2026. Session Laws chapter 277
(SB 1641) amends § 2005(A)(3) so the articles must also state the registered
agent's electronic-mail address.
Change, resignation, and replacement
Under § 2010(B), the LLC files a statement signed by any manager to designate
or change the agent, registered office, principal office, or registered-office
street address. Filing makes it effective unless the statement specifies a
later date or time no later than day 90 after filing.
An agent changing its own name or Oklahoma street address may file a signed
statement under subsection (C). The statement names each affected LLC and the
new information. If the agent's new address also is the new principal-office
address, the agent may include that change after written notice to the LLC and a
recital of notice. Filing is the default effective time, subject to the same
day-90 delayed-effect ceiling.
Resignation has two distinct 30-day periods. Before filing, the agent must mail
or deliver notice to the LLC's last-known address at least 30 days in advance.
The signed and acknowledged resignation then takes effect 30 days after filing,
unless it states a later date or time no later than day 90. The LLC should
designate a successor before that effective point; otherwise the Secretary of
State becomes its agent by statute until replacement.
Agent duties and service
Section 2010(A)(2) requires the agent to keep the matching business office open
during regular business hours to accept service of process and otherwise
perform the functions of a registered agent. The cited provision states no
separate universal forwarding deadline and no stand-alone damages consequence
for delayed private forwarding.
Lapse consequences and fallback service
Oklahoma prevents a resignation-created vacuum through § 2010(D)(3): if the LLC
has no successor when resignation becomes effective, the Secretary of State is
deemed its registered agent until the LLC designates a new one. Section 2010(E)
also permits service on the Secretary of State when the LLC has no registered
agent or the agent cannot be found, using the Title 12 process route. No court
order appears in § 2010 as a prerequisite.
Section 2010 states no separate daily penalty, loss-of-good-standing rule, or
administrative-dissolution consequence for the private-agent lapse itself. The
statutory-agent substitution and fallback service mean the LLC remains
reachable.
What trips people up
The LLC may serve itself. Oklahoma says so expressly; self-service is not
limited to a member or manager acting as an individual resident.
“Regular business hours” is enacted law. It is not merely vendor advice,
although the statute does not specify exact clock times.
Resignation is not a one-month process. Notice to the LLC comes at least 30
days before filing, and effectiveness ordinarily comes 30 days after filing.
The email change is for the agent. Beginning November 1, 2026, the articles
must give the registered agent's email address, not merely a general company
email.
Common questions
Can an Oklahoma LLC be its own registered agent? Yes. Section 2010(A)(2)
expressly includes the domestic LLC itself, subject to the matching office and
regular-business-hours requirements.
Can the office be only a P.O. box? No. Current § 2005 requires the articles
to state the registered agent's street address, identical to the registered
office.
Does the initial agent sign a consent? The current formation provisions
require an organizer's signature but state no separate registered-agent
acceptance or signature. A voluntary appointment remains important, but the
survey does not invent a filed consent field.
What if no replacement is appointed after resignation? When the resignation
becomes effective, the Secretary of State is deemed the LLC's agent until a new
registered agent is designated.
