Requirements one by one

Governing law and terminology

Iowa Code chapter 489, the Iowa Uniform Limited Liability Company Act, governs
an ordinary domestic LLC. Iowa Code § 489.102 defines registered agent as
the agent authorized to receive process, notices, and demands for the company.

The current statute speaks of the agent's Iowa place of business. The
Secretary of State's filing portal and formation guide also call the agent's
street address the registered office. That portal label does not create a
second physical location separate from the agent's Iowa business place.

Continuous designation duty

Iowa Code § 489.115 requires every LLC to designate and maintain a registered
agent in Iowa. Section 489.201 makes the initial agent part of the certificate
of organization: the filing states the agent's name and Iowa street and mailing
addresses.

Eligible individual

Section 489.115 itself states that the registered agent must have a place of
business in Iowa. It does not separately list an age or residence test.

The Secretary of State's current filing guidance is more specific for an
individual owner or employee who wants to serve: the individual must reside in
Iowa, be at least 18, and have an office within Iowa. This is agency filing
guidance; the statutory text quoted below remains the governing chapter text.

Eligible entity and self-service

The Secretary of State describes a registered agent as an individual or entity.
Iowa Code § 489.102 defines “person” broadly to include individuals, corporations,
partnerships, limited liability companies, and other legal or commercial
entities, while its registered-agent definition describes an agent authorized
to receive service for the LLC.

The Secretary of State expressly says an owner or employee may act as the agent
when the individual meets its Iowa-residence, age, and office guidance. Neither
§ 489.115 nor the cited guidance expressly says the LLC may name the company
itself as its own agent. Personal owner service is the clearly stated self-help
route.

Registered office, address, and hours

Under § 489.115, the agent must have a place of business in Iowa. Section
489.201 requires both the street and mailing addresses in Iowa. A mailing
address may supplement the street address; it does not replace the required
street-address field in the certificate.

The cited chapter provisions do not state a numbered daily availability window.
Do not convert general “business hours” advice into a statutory hours rule.

Consent and initial filing

The certificate of organization states the agent's name and Iowa street and
mailing addresses under § 489.201. Section 489.115 makes the designation itself
an affirmation that the agent consented to serve. The cited provisions do not
require the agent to sign the certificate or deliver a separate acceptance.

The Secretary of State's online workflow requires the filer to upload the
certificate and also type the registered-agent and registered-office-address
information into the portal.

Change, resignation, and replacement

Under § 489.116, the LLC may file a statement changing the agent or address. A
new-agent designation again affirms consent, and the statement is effective
when the Secretary of State files it. Members or managers need not approve that
filing under the statutory rule.

Section 489.118 allows the agent to file its own name or address change and
requires prompt notice to the represented LLC after the Secretary of State
files the statement. Under § 489.117, resignation takes effect on the earlier
of a replacement designation or the 31st day after filing. The resigning agent
must promptly give the LLC a record of the filing date.

Agent duties and service

Iowa Code § 489.115 limits the compliant agent's chapter duties to forwarding
received process, notices, and demands to the latest company-supplied address;
giving the resignation notice; and keeping the agent information in the
certificate current. It states no numbered forwarding deadline.

Section 489.119 permits ordinary service by serving the registered agent and
requires service on the agent to be in a written record.

Lapse consequences and fallback service

Iowa Code § 489.708 makes two 60-day failures administrative-dissolution
grounds: being without a registered agent or qualifying Iowa business place for
60 days, and failing for 60 days to notify the Secretary of State of an agent or
address change, resignation, or address discontinuance. Under § 489.709, the
Secretary of State serves written notice and the LLC has another 60 days to
cure or disprove the ordinary ground before dissolution. A dissolved LLC
continues only for winding up and claimant notice, and dissolution does not end
the authority of an agent that still exists.

If the agent is gone or cannot with reasonable diligence be served, § 489.119
allows registered or certified mail, return receipt requested, or similar
commercial delivery to the principal office shown in the latest biennial
report. Service is effective at the earliest of receipt, the date on a signed
return receipt, or day five after a correctly addressed and sufficiently paid
deposit. If that route fails, a copy may be handed to the individual in charge
of a regular business place or activity, unless that individual is the
plaintiff. Other lawful methods remain available.

What trips people up

“Registered office” is a portal label, while the LLC statute says place of
business.
The operative filing still needs the agent's Iowa street and mailing
addresses. Keep those separate from the LLC's principal-office addresses.

Consent is an affirmation, not an agent signature block. A filer should not
name someone who did not agree, even though the agent does not separately sign
or file an acceptance under the cited provisions.

Unauthorized agent information can now be removed immediately. Effective
July 1, 2026, 2026 Iowa Acts chapter 1145 enacted § 489.212A. A person whose
name or address was used without authorization may submit a notarized sworn
affidavit. After administrative review, the Secretary of State can remove the
information immediately and notify the LLC that it is without an agent or agent
address. The same act added a separate immediate-dissolution route for a
company that concedes a chapter violation through the new interrogatory
process. Those fraud provisions do not replace the ordinary agent-lapse and
60-day cure sequence.

Common questions

Can an Iowa LLC owner be the registered agent? Yes, personally. The
Secretary of State says an owner or employee may serve if the individual lives
in Iowa, is at least 18, and has an Iowa office.

Can I use only a P.O. box? No. Section 489.201 requires an Iowa street
address as well as a mailing address. A mailing address can be different, but
it does not replace the street field.

Must the agent sign the certificate? Not under the cited provisions. The
LLC's designation affirms that the agent consented.

Does resignation end immediately? No, unless a replacement is designated
first. Otherwise it ends on day 31 after filing.
