Requirements one by one
The first certificate is due on the first anniversary
Section 2055.2 requires a certificate every year and sets the due date as the anniversary
of filing the articles of organization. That makes a domestic LLC's first certificate due
on its first formation anniversary. A registered foreign LLC uses the anniversary of its
Oklahoma registration instead.
The Secretary of State must send notice at least 60 days before the anniversary to the
last email address in its records. The filing duty and anniversary date come from the
statute, so an LLC should not treat a missing reminder as a changed deadline.
The Secretary of State accepts the annual certificate online or on its paper form. A paper
filing is returned with a $25 check payable to the Oklahoma Secretary of State.
The certificate is a short status confirmation
Current § 2055.2(A) requires the LLC to confirm that it is active and give its principal
place-of-business address. The current Secretary of State form asks whether the company is
active, requires a street address rather than only a post-office box, requests the primary
contact's email address, and calls for a member or manager signature.
The email field is about to move from agency form practice into the statute itself.
2026 Oklahoma Session Laws chapter 277 takes effect November 1, 2026 and adds
"electronic mail address" to the information expressly required by § 2055.2(A). The fee,
anniversary deadline, and 60-day delinquency rule do not change.
The fee is $25 and the 60-day point changes status
The annual-certificate fee is $25. Section 2055.2 does not add a separate dollar late
penalty. Instead, a domestic LLC ceases to be in good standing when the certificate and fee
remain unpaid 60 days after the due date.
Once that happens, the Secretary of State will not accept most certificates or articles for
the LLC and will not issue a certificate of good standing until reinstatement. The LLC also
may not maintain an action in an Oklahoma court while delinquent. Section 2055.3(C)
preserves the validity of its contracts and other acts and expressly allows it to defend an
action, so the litigation restriction is not a ban on appearing as a defendant.
Cancellation comes later, and reinstatement relates back
For a domestic LLC, losing good standing at day 60 is not yet cancellation. Under
§ 2012.1(B), its articles of organization are deemed canceled on the third anniversary of
the missed due date if the certificate and fee remain unpaid.
The cure is to file every delinquent annual certificate, pay every delinquent annual fee,
and file an application for reinstatement. If the former name is no longer available, the
application must use an available current name. Once accepted, § 2055.3(B) makes the
reinstatement relate back as though the LLC had never lost good standing and its articles
had never been canceled.
A registered foreign LLC has a materially shorter cancellation track: § 2047(C) deems its
Oklahoma registration withdrawn on the 61st day after the due date. Section 2055.3
allows it to use the same delinquent-certificate, delinquent-fee, and reinstatement process.
What trips people up
- The filing is called an annual certificate, not an annual report. Searching only for
an Oklahoma "annual report" can miss the official form and statute. - Day 60 and year three are different consequences. The domestic LLC loses good
standing after 60 days, but its articles are not deemed canceled until the third
anniversary of the missed deadline. - Foreign LLCs do not receive the domestic three-year runway. Their Oklahoma
registration is deemed withdrawn on day 61. - The email rule has two dates. The current Secretary of State form already asks for an
email address for notices; chapter 277 makes email an express statutory certificate field
on November 1, 2026.

Is there a separate late fee on day 61?
Section 2055.2 does not state an added dollar late fee. The consequence at that point is
loss of good standing, filing restrictions, and the inability to maintain an Oklahoma court
action until reinstatement.
Can a delinquent LLC defend a lawsuit?
Yes. It cannot maintain an action while delinquent, but § 2055.3(C) says the missed
certificate does not prevent it from defending an action.
